Welcome to the community of sellers at Lucknawi.in! We are thrilled to provide a platform for artisans and creators like you to showcase their craft to a national audience. This document, the Seller Terms and Conditions ("Agreement"), constitutes a legally binding agreement between you, the seller ("Seller," "you," "your"), and the operators of Lucknawi.in ("Platform," "we," "us," "our"). By registering for and using a seller account on our platform, you agree to read, understand, and be bound by all terms outlined herein. This Agreement governs your access to and use of the seller services, including listing products, managing orders, and receiving payments.

1. Seller Account Registration and Eligibility

To sell products on Lucknawi.in, you must create a seller account. By creating an account, you represent and warrant that:

(a) Eligibility

You are at least 18 years of age and have the legal authority to enter into this Agreement, either as an individual or on behalf of a registered business entity.

(b) Accuracy of Information

You will provide true, accurate, current, and complete information as prompted by our registration form. This includes, but is not limited to, your legal name, business name, address, contact information, Goods and Services Tax Identification Number (GSTIN), and valid bank account details for payment remittance.

(c) Account Security

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. The Platform cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation. We reserve the right to suspend or terminate any account that we believe is being used in a fraudulent or unauthorized manner.

2. Product Listings, Content, and Brand

As a seller, you are in control of your shop and your product listings. However, all listings must adhere to the following policies:

(a) Listing Accuracy

You are responsible for accurately describing your products. All listing information, including titles, descriptions, prices, shipping costs, and images, must be truthful and not misleading. The product sold must match the product described in the listing.

(b) Prohibited Items

You may not list any item that is illegal to sell under any applicable law, statute, or regulation. Prohibited items include, but are not limited to, counterfeit goods, hazardous materials, illegal drugs, and any products that infringe upon the intellectual property rights of a third party. We reserve the right to remove any listing that we determine, in our sole discretion, violates our policies.

(c) Intellectual Property

You represent and warrant that you own or have the necessary rights and permissions to sell the products you list and to use all content (including images, text, logos, and videos) in your listings. By uploading content to the Platform, you grant Lucknawi.in a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, distribute, display, and promote your listings and brand name in connection with the operation and marketing of the Platform.

(d) Pricing

You have the sole discretion to set the price for your products. All prices must be listed in Indian Rupees (INR) and be inclusive of all applicable taxes, including GST.

3. Seller Obligations and Conduct

Your success and the trust of our customers depend on your commitment to quality and professionalism. As a seller, you agree to:

(a) Order Fulfillment

You are responsible for fulfilling your orders promptly and accurately. This includes packaging the products securely to prevent damage during transit and shipping them within the timeframe specified in your listing.

(b) Customer Service

You will provide a high level of customer service, responding to customer inquiries and resolving any issues in a timely and professional manner.

(c) Legal Compliance

You agree to comply with all applicable Indian laws and regulations, including those related to e-commerce, consumer rights, taxation (GST), legal metrology, and data privacy. You are responsible for collecting and remitting all required taxes for your sales.

(d) Professional Conduct

You will conduct all activities on the Platform in a professional manner, treating customers and Platform staff with respect. Any form of harassment, abuse, or fraudulent activity will result in the immediate termination of your account.

4. Fees, Payments, and Payouts

(a) Commission and Fees

In consideration for your use of the Platform, we will charge a commission fee on each sale made through your shop. The specific commission percentage will be communicated to you during registration and is calculated based on the total value of the transaction (including product price and shipping). We may also charge other fees, such as payment processing fees, which will be clearly disclosed. We reserve the right to modify our fee structure at any time, with 30 days' prior notice to you.

(b) Payouts

Customer payments will be processed through our designated payment gateway. After deducting our applicable fees, commissions, and any refunds or chargebacks, the remaining funds will be remitted to your registered bank account. Payouts will be processed on a regular cycle (e.g., every 15 days), subject to a holding period to account for potential customer returns or disputes.

(c) Tax Compliance (TCS)

As required by Indian law, Lucknawi.in will collect Tax at Source (TCS) on the net value of your sales and remit it to the government. You will be able to see these deductions in your account statement and claim credit for it in your GST filings.

5. Shipping, Returns, and Disputes

(a) Shipping Responsibility

You are responsible for shipping your products to the customer. You must define your shipping policies, including costs and estimated delivery times, clearly in your listings. We recommend using a reputable courier service with tracking capabilities to ensure a secure delivery.

(b) Returns and Refunds

You must adhere to the Platform's minimum return policy. Customers are entitled to a refund or replacement for products that are defective, damaged, or significantly not as described. You must clearly state your own return policy for other reasons (e.g., change of mind) in your shop policies.

(c) Disputes

We encourage you to resolve disputes directly with the customer. If a resolution cannot be reached, Lucknawi.in may, at its discretion, help mediate the dispute. However, we are not obligated to resolve disputes and will not make judgments regarding legal issues or claims.

6. Termination of Agreement

This Agreement is effective until terminated by either you or us. You may terminate this Agreement at any time by closing your seller account through the platform's interface. We may terminate or suspend your account and your access to the Platform at any time, for any reason, without advance notice. Grounds for immediate suspension or termination include, but are not limited to, a breach of this Agreement, fraudulent activity, a high rate of negative customer feedback, or prolonged inactivity. Upon termination, you remain obligated to fulfill any pending orders and pay any outstanding fees owed to the Platform.

7. Disclaimer, Liability, and Indemnification

(a) Disclaimer

The Platform is provided on an "as is" and "as available" basis. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

(b) Limitation of Liability

To the fullest extent permitted by law, Lucknawi.in shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to, damages for loss of profits, goodwill, or data, resulting from your use of the Platform.

(c) Indemnification

You agree to indemnify and hold Lucknawi.in and its affiliates, officers, directors, and employees harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement, your improper use of the Platform's services, or your violation of any law or the rights of a third party.

8. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of this Agreement will be brought exclusively in the competent courts of Lucknow, Uttar Pradesh.
